Pivot Connect Marketplace Terms
These Marketplace Terms set out the commercial and legal framework for using the Pivot Connect Sponsorship Marketplace.
Pivot Connect Marketplace Terms & Conditions
Last updated: 21 October 2026
These Terms & Conditions govern access to and use of the Pivot Connect sponsorship marketplace, website, services and related communications.
Pivot Connect is operated by Pivot Lab (Pty) Ltd, registration number 2026 / 028268 / 07 (“Pivot Lab”, “Pivot Connect”, “we”, “us” or “our”).
By accessing or using Pivot Connect, submitting information, listing an opportunity, requesting information about an opportunity, or otherwise using the marketplace, you agree to these Terms.
1. About Pivot Connect
Pivot Connect is a sponsorship discovery, listing, introduction and connection platform designed to bring together:
-
brands and prospective sponsors
-
sponsorship property owners and rights holders
-
agents and agencies acting for rights holders
-
events, sports organisations, media owners, venues and other commercial rights owners
-
non-profit and social-impact organisations
-
other participants in the sponsorship and partnership ecosystem
Pivot Connect facilitates discovery and introductions. Unless expressly agreed otherwise in writing, Pivot Lab is not a party to any sponsorship, advertising, partnership, rights acquisition or other commercial agreement ultimately concluded between users.
2. Definitions
For these Terms:
“Brand” means any person or organisation seeking sponsorship, partnership, activation, promotional or commercial opportunities.
“Opportunity” means any sponsorship property, commercial right, partnership opportunity, activation opportunity or other offering listed on Pivot Connect.
“Rights Holder” means the owner or authorised controller of an Opportunity.
“Agency” includes any agent, agency, consultant, intermediary or representative authorised to act for a Rights Holder.
“Listing” means information concerning an Opportunity displayed through Pivot Connect.
“Introduction” means any connection, enquiry, referral, disclosure of identity or contact between parties arising directly or indirectly through Pivot Connect.
“User” means anyone accessing or using Pivot Connect.
3. Eligibility and authority
Users must have legal capacity and authority to use Pivot Connect and to provide any information submitted through the platform.
A Rights Holder listing an Opportunity warrants that it owns, controls or has sufficient authority to market and grant the relevant sponsorship or commercial rights.
An Agency listing on behalf of a client warrants that it has the necessary authority or mandate from that client.
Pivot Lab may request evidence of authority at any time.
Users who create an account are responsible for keeping their login details secure and for all activity carried out through their account.
4. Listings and marketplace content
Rights Holders and Agencies are responsible for ensuring that information supplied for Listings is:
-
accurate
-
current
-
not misleading
-
lawfully supplied
-
supported by appropriate authority
-
not infringing the rights of any third party
Pivot Lab may edit the presentation, formatting, categorisation or length of Listings for consistency, clarity and marketplace presentation, provided that we do not intentionally alter their commercial meaning.
Pivot Lab may decline, suspend or remove any Listing that we reasonably believe is inaccurate, unlawful, inappropriate, misleading, expired or inconsistent with the marketplace.
5. No guarantee of sponsorship or transaction
Listing an Opportunity does not guarantee:
-
enquiries
-
introductions
-
sponsorship
-
funding
-
sales
-
partnerships
-
commercial negotiations
-
completion of any transaction
Pivot Lab does not guarantee the suitability, financial standing, authority or performance of any User.
Each party is responsible for conducting its own due diligence before entering into any commercial relationship.
6. Introductions and commercial relationships
Where Pivot Connect introduces a Brand to a Rights Holder, Agency or Opportunity, the parties may communicate and negotiate directly.
Pivot Lab may remain involved in the introduction, facilitation or commercial process where appropriate.
Any final commercial agreement remains subject to the parties' own negotiation, approval, contracting and due diligence requirements.
7. Pivot Lab fees and commission
Use of parts of the Pivot Connect website may be free.
Where a Rights Holder, Agency or other commercial participant agrees to pay Pivot Lab:
-
a listing fee
-
introduction fee
-
referral or finder’s fee
-
success fee
-
commission
-
other commercial fee
that fee will be governed by a separate written agreement, mandate, commercial schedule or accepted commercial terms between Pivot Lab and that party.
These Marketplace Terms do not by themselves impose a commission percentage.
Where a separate agreement applies, that agreement will determine:
-
the amount or percentage payable
-
the transaction value against which the fee is calculated
-
VAT treatment
-
when the fee becomes earned
-
payment due dates
-
attribution of introductions
-
protection periods and treatment of renewals, extensions or follow-on transactions.
If there is any inconsistency between these Terms and a signed commercial agreement with Pivot Lab, the signed agreement will prevail in relation to the relevant commercial arrangement.
Our standard commercial terms for Rights Holders and Agencies are published on the Pivot Connect Commercial Terms page. By submitting a Listing, a Rights Holder or Agency accepts those Commercial Terms unless a different written agreement applies.
8. NPO and social-impact listings
Pivot Connect offers qualifying non-profit, charitable and social-impact organisations a reduced success fee, as set out in the Pivot Connect Commercial Terms.
Pivot Lab may establish reasonable eligibility criteria for participation in any NPO or social-impact programme.
9. Attribution and circumvention
Where a commercial opportunity or relationship arises from an Introduction made through Pivot Connect, Pivot Lab may regard that relationship as having originated through the platform for purposes of any separate fee or commission agreement.
Users must not deliberately structure communications or transactions for the principal purpose of avoiding a properly agreed Pivot Lab fee.
Specific attribution periods, protection periods and non-circumvention obligations will be governed by the applicable commercial agreement between Pivot Lab and the relevant Rights Holder or Agency.
10. Brand enquiries
Brands may use Pivot Connect to browse Opportunities and request further information.
A request for information does not constitute:
-
an offer
-
acceptance
-
a binding sponsorship commitment
-
a reservation of any rights
Rights remain subject to availability and the Rights Holder’s approval.
A sponsorship brief submitted through Pivot Connect is likewise non-binding. By submitting a brief, a Brand agrees that Pivot Lab may share relevant details with suitable Rights Holders or Agencies for the purpose of identifying matching Opportunities.
11. Confidential information
Information clearly identified as confidential, restricted, private, subject to NDA or commercially sensitive must not be disclosed or used except for the purpose for which it was provided.
Certain Listings may be marked:
-
confidential
-
price on application
-
restricted
-
available only after enquiry
-
subject to NDA
Pivot Lab may withhold sensitive information until appropriate confidentiality arrangements are in place.
Pivot Lab may compile and publish aggregated, anonymised market information derived from Listings, enquiries and transactions, such as category trends and investment ranges, provided that no individual User, Brand, Rights Holder or transaction value is identifiable.
12. Intellectual property
Pivot Lab owns or is licensed to use the intellectual property associated with:
-

The submitting party warrants that it has the rights necessary to grant that permission.

Pivot Lab does not control all third-party content and does not warrant its accuracy, availability or completeness.
Users access third-party websites and services at their own risk and subject to those parties' own terms and privacy policies.
15. Privacy and personal information

Marketing communications will be handled subject to applicable legal requirements and available opt-out rights.
17. Consumer protection
Where the Consumer Protection Act 68 of 2008 applies to a transaction or service provided by Pivot Lab, nothing in these Terms is intended to unlawfully waive or restrict any mandatory consumer right.
The Consumer Protection Act establishes standards relating to fair marketing, consumer information and consumer transactions.
If any provision of these Terms conflicts with a mandatory consumer protection right, that right will prevail to the extent required by law.
18. Platform availability
Pivot Lab aims to maintain a reliable marketplace but does not guarantee that Pivot Connect will always be:
-
uninterrupted
-
error-free
-

Nothing in these Terms excludes liability that cannot lawfully be excluded.
Where liability cannot be excluded, Pivot Lab’s liability will be limited to the extent permitted by South African law and any applicable written agreement between the parties.
21. Indemnity
To the extent permitted by law, a User who supplies a Listing or content indemnifies Pivot Lab against third-party claims arising from:
-
lack of authority to supply or market the relevant rights
-
materially inaccurate or misleading information
-
infringement of third-party intellectual property

unlawful content

breach of these Terms by that User
22. Suspension and termination
Pivot Lab may suspend or terminate a User’s access or remove a Listing where reasonably necessary, including for:
-
breach of these Terms
-
suspected fraud
-
misuse of the platform
-
expired opportunities
-
inaccurate information
-
legal or regulatory requirements
-
material reputational or security risk
Termination does not automatically extinguish obligations that accrued before termination, including valid fee obligations under a separate commercial agreement.
23. Changes to these Terms
Pivot Lab may update these Terms from time to time.
The current version will be published on the Pivot Connect website together with an updated “Last updated” date.
Material changes may be communicated where appropriate.
Continued use of Pivot Connect after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
24. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of South Africa.
Unless otherwise agreed in writing, disputes will be subject to the jurisdiction of the courts of South Africa having appropriate jurisdiction.
Nothing prevents the parties from attempting to resolve a dispute through good-faith negotiation or mediation before commencing formal proceedings.
25. General provisions
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
A failure by Pivot Lab to enforce a right immediately does not constitute a waiver of that right.
These Terms, together with any applicable Privacy Policy and any separately executed commercial agreement, constitute the relevant agreement between Pivot Lab and the User in relation to the matters they cover.
