Pivot Connect Commercial Terms for Rights Holders and Agencies

These Commercial Terms form part of the Pivot Connect Marketplace Terms & Conditions. Words defined there have the same meaning here.
1. Listing fees:
Listing an Opportunity on Pivot Connect is free during the launch phase. Pivot Lab may introduce listing fees in future, with at least 30 days’ notice to existing Rights Holders and Agencies.
2. Success fee:
Direct listings. Where a Rights Holder lists an Opportunity directly, and an agreement is concluded with a Brand arising from an Introduction, the Rights Holder will pay Pivot Lab a success fee of 10% of the initial sponsorship value.
3. Success fee:
Agency listings. Where an Agency lists an Opportunity on behalf of a Rights Holder, a reduced success fee of 3% of the initial sponsorship value applies, payable by the Agency.
4. Renewals:
If a Brand renews or extends an agreement arising from an Introduction within 12 months of the original agreement, a renewal fee of 3% of the renewal value applies to direct listings
5. Sponsorship value:
“Sponsorship value” means the total cash value of the agreement, plus the agreed value of any value-in-kind supplied by the Brand.
6. Protection period:
Fees apply to any agreement concluded with a Brand within 24 months of an Introduction, including where the parties later deal directly with each other.
7. Notification and payment:
The Rights Holder or Agency must notify Pivot Lab within 5 business days of signing an agreement with an introduced Brand. Pivot Lab will invoice the fee, which is payable within 30 days of the Rights Holder receiving payment from the Brand. Where the Brand pays in instalments, the fee may be invoiced in matching instalments.
8. NPO and social-impact listings:
Registered non-profit organisations (including PBOs and NPCs) that list an Opportunity directly pay a reduced success fee of 5% of the initial sponsorship value. Pivot Lab may ask for proof of registration. Renewal fees apply as set out in clause 4.
9. VAT. All fees exclude VAT:
Which will be added where applicable.
10. No deal, no fee:
No success fee is payable if no agreement is concluded.
